Terms of Use & Master Services Agreement

1.1 Corporate Ownership: This website (bearsystems.in), along with all software platforms, API endpoints, artificial intelligence models, geospatial intelligence workflows, cloud tenant environments, and professional advisory channels (collectively, the "Services"), is owned, maintained, and operated exclusively by RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED, a corporate entity incorporated under the Companies Act, 2013 (India) with registered corporate headquarters in Delhi NCR, India (hereinafter designated as "Company", "Bear Systems", "We", "Us", or "Our").

1.2 Brand Directive: "Bear Systems" is an authorized operational software division, commercial trade directive, and registered corporate brand operating fully under RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED. All contractual rights, intellectual property titles, invoice revenues, and legal protections specified herein accrue solely and exclusively to RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED.

1.3 Binding Legal Contract: By browsing, accessing, registering an account, invoking an API payload, or executing a Statement of Work (SOW), you (the "Client", "User", "Subscriber", or "Requisite Entity") represent and warrant that you possess full legal capacity and corporate authority to bind yourself or your organization to this Agreement. If you do not accept all terms without modification, you are strictly prohibited from using the Services.

2.1 Enterprise Service Offerings: Bear Systems renders high-precision software engineering, SAP PartnerEdge ecosystem solutions, Odoo/ERPNext enterprise implementations, neural network fine-tuning, custom LLM agent deployments, geospatial satellite intelligence, and strategic technology advisory.

2.2 Order of Precedence: In the event of a direct, irreconcilable conflict between these general Terms of Use and a formal Statement of Work (SOW) executed in writing by a director of RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED, the specific terms of the executed SOW shall prevail solely regarding that specific engagement.

2.3 Unilateral Suspension Right: RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED reserves the absolute, unappealable right, exercisable at its sole discretion without prior notice or financial penalty, to suspend, throttle, blacklist, or terminate any Client access, API key, IP subnet, or cloud tenant for non-payment, system abuse, security risks, or commercial non-compliance.

3.1 Credential Responsibility: Client maintains exclusive responsibility for safeguarding all administrative credentials, API secrets, private SSH keys, and user tokens issued by Bear Systems. Any action executed through Client's credentials shall be conclusively deemed to have been performed directly by Client.

3.2 Unauthorized Breach Reporting: Client agrees to notify the Company immediately at info@bearsystems.in upon discovering any unauthorized disclosure, compromised API secret, or security incident involving Bear Systems endpoints.

4.1 Commercial Currency & Invoicing: Fees for services, retainers, and subscriptions are invoiced in Indian Rupees (INR) or agreed foreign currency (USD, EUR, GBP) via wire transfer or through integrated PCI-DSS compliant online payment gateways operated by Cashfree Payments India Private Limited ("Cashfree").

4.3 Statutory Taxes: Quoted fees are exclusive of Goods and Services Tax (GST), value-added taxes, or international withholding taxes, which shall be added to invoices and paid by the Client in accordance with applicable tax statutes.

5.1 Absolute Ownership Retention: All source code, pre-built components, machine learning architectures, neural weights, prompt engineering strategies, synthetic workflows, trade dress, trademarks, logos, and patents owned or authored by Bear Systems remain 100% the exclusive property of RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED.

5.2 Strict Prohibition on Decompilation: Client shall not, directly or indirectly: (a) decompile, reverse engineer, disassemble, or extract source code from any software interface; (b) use API outputs to train, fine-tune, or benchmark competing AI models; (c) dynamic-scrape or load-test endpoints without prior written authorization; or (d) remove proprietary copyright notices.

6.1 Submission Policy: RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED does not accept unsolicited concepts, algorithmic ideas, or software codebases. Any feedback, suggestions, or feature requests submitted to Bear Systems by Client shall become the sole, unencumbered intellectual property of the Company without compensation or attribution.

7.1 Non-Disparagement Covenant: Client agrees that neither Client nor its representatives shall make, publish, or transmit any defamatory, disparaging, or negative statements regarding RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED, Bear Systems, its software, or directors on any social media, review portal, or press outlet.

7.2 Multi-Year Non-Disclosure: Technical designs, commercial rates, code architecture, and security protocols disclosed by Bear Systems shall be held in strict confidence for a minimum period of five (5) years following engagement termination.

THE SERVICES, AI AGENTS, SOFTWARE ENDPOINTS, AND DELIVERABLES ARE PROVIDED ON AN ABSOLUTE "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED AVAILABILITY, OR ACCURACY OF AI OUTPUTS AND GEOSPATIAL INTELLIGENCE PIPELINES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR LOST-PROFIT DAMAGES.

Client agrees to defend, indemnify, save, and hold harmless RUGABA RAAMATU KYNIGOS SYSTEMS PRIVATE LIMITED, its directors, officers, engineers, and sub-contractors from any third-party claims, demands, liabilities, damages, regulatory fines, or legal expenses (including attorney fees) resulting from Client's breach of these Terms, misuse of Services, or illegal data submission.

11.1 Jurisdiction: This Agreement is governed by the laws of the Republic of India. The courts in New Delhi / Gurugram, Haryana, India shall have exclusive jurisdiction over any court actions permitted hereunder.

11.2 Binding Arbitration: Any dispute or claim shall be finally resolved through binding individual arbitration under the Arbitration and Conciliation Act, 1996 (India) in New Delhi in the English language.

11.3 CLASS ACTION WAIVER: CLIENT IRREVOCABLY WAIVES ANY RIGHT TO BRING OR JOIN ANY CLASS LAWSUIT, GROUP ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST THE COMPANY WORLDWIDE.

If any provision of this Agreement is held invalid, the remaining provisions shall continue in full force. Provisions regarding Intellectual Property, Confidentiality, Indemnification, Limitations of Liability, and Arbitration shall survive agreement termination.
